Terms of Service
These Terms of Service govern the use of Secure Bookmark, a service provided by EXCEEDSYSTEM. By using the service, you agree to these Terms.
1. Scope
These Terms apply to all relationships between EXCEEDSYSTEM and users concerning the service. Rules, help pages, notices, and other instructions separately posted in the service form part of these Terms.
2. Accounts and Authentication
Users must create accounts with accurate information and manage their authentication information at their own responsibility. EXCEEDSYSTEM is not responsible for damage caused by insufficient account management, third-party use, or user error.
3. Secret Keys and Data Management
The service encrypts bookmark content on the client side. Secret keys and backup passwords are managed by users, and EXCEEDSYSTEM cannot recover them. EXCEEDSYSTEM does not guarantee recovery if data cannot be decrypted because of a lost, incorrect, or mismanaged secret key.
4. Service Features
The service provides features for bookmarks, notes, thumbnails, backups, restoration, search, sorting, and related functions. EXCEEDSYSTEM may change, add, suspend, or discontinue service features, specifications, or delivery methods as needed.
5. Fees and Payment
When using a paid plan, users must pay the displayed fees according to the displayed billing cycle and payment terms. Payments are processed through third-party payment or billing services. Unless otherwise stated, users may continue using paid features until the end of the current subscription period after cancellation. Due to the nature of digital services, paid fees are not prorated or refunded except where required by law.
6. Prohibited Conduct
Users must not engage in the following conduct when using the service.
- Acts that violate laws, regulations, or public order and morals.
- Acts that infringe the rights, privacy, reputation, or property of third parties.
- Unauthorized access, excessive load, vulnerability testing, reverse engineering, or other acts that interfere with service operation.
- Impersonation, registration of false information, or allowing a third party to use an account.
- Use of the service for malware, phishing, fraud, spam, or directing others to illegal content.
- Any other conduct that EXCEEDSYSTEM considers inappropriate.
7. Suspension and Termination
If a user violates these Terms, is suspected of misuse, has payment issues, or if EXCEEDSYSTEM determines that action is necessary to protect the service, EXCEEDSYSTEM may suspend the account, restrict features, delete data, terminate the agreement, or take other necessary measures without prior notice.
8. User Content and Intellectual Property
Rights to bookmarks, notes, thumbnails, and other content stored by users remain with the user or the rightful owner. Users permit EXCEEDSYSTEM to process such data to the extent necessary to provide, maintain, improve, and legally operate the service. Rights to the service software, screens, designs, logos, and documents belong to EXCEEDSYSTEM or the rightful owner.
9. Third-Party Services
The service uses third-party services for authentication, hosting, billing, delivery, and related operations. The terms, outages, specification changes, or termination of third-party services may affect all or part of the service.
10. Disclaimer of Warranties
EXCEEDSYSTEM does not warrant that the service will be complete, accurate, useful, fit for a particular purpose, continuously available, free from failures or data loss, or always available in the user's environment.
11. Limitation of Liability
EXCEEDSYSTEM is not liable for damage arising from or related to the service except in cases of intentional misconduct or gross negligence by EXCEEDSYSTEM. Except where limitation of liability is not permitted by law, even if EXCEEDSYSTEM is liable, liability is limited to ordinary and direct damages and does not include lost profits, indirect damages, special damages, or consequential damages.
12. Changes, Suspension, and End of Service
EXCEEDSYSTEM may change, interrupt, suspend, or end all or part of the service when necessary for maintenance, incident response, security, third-party service changes, legal compliance, business reasons, or other necessary circumstances.
13. Changes to These Terms
EXCEEDSYSTEM may update these Terms when laws, service features, or operations change. If material changes are made, EXCEEDSYSTEM will notify users by posting a notice in the service or by another reasonable method. If a user continues using the service after the change, the user is deemed to have agreed to the updated Terms.
14. Severability and Assignment
If any part of these Terms is held invalid or unenforceable, the remaining provisions remain effective. Users may not assign, transfer, or pledge their status, rights, or obligations under these Terms to a third party without prior written consent from EXCEEDSYSTEM.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of Japan. The Tokyo District Court or the Maebashi District Court shall be the non-exclusive agreed court of first instance for disputes arising from or related to the service. If a user is a consumer, the user may also file an action in the court having jurisdiction over the user's address.
